Tedigo Console (“the Service”) is a remote terminal platform operated by Tedigo (“we”, “us”). By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the Service.
“Service” refers to the Tedigo Console platform, including the command-line interface (CLI) tool, the web-based interface, and the application programming interface (API).
“Account” refers to your registered user account on the Service.
“Content” refers to any code, commands, session data, or other material that you process through the Service.
“AI Output” refers to any content generated by third-party artificial intelligence services (such as Anthropic Claude) during your use of the Service.
You must be at least 16 years of age to create an account and use the Service. Each individual may maintain only one account. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account.
If you are using the Service on behalf of an organization, the organization administrator is responsible for managing access permissions and ensuring that all members comply with these terms.
You agree not to engage in, and not to allow any third party to engage in, any of the following prohibited activities:
Tedigo determines compliance with this Acceptable Use Policy in its reasonable discretion. Violation may result in immediate suspension or termination under Section 12 without refund.
Paid plans are billed in advance through our payment processor at the price displayed at the time of subscription. Fees are non-refundable except where required by applicable law, including any partial billing period at cancellation. Tedigo may change fees with at least 30 days’ notice for active subscriptions. Stated fees do not include taxes; you are responsible for all applicable sales, use, value-added, or similar taxes.
The Service integrates with third-party AI providers, including Anthropic’s Claude. By using the Service, you acknowledge and agree that:
You retain full ownership of your Content. By using the Service, you grant Tedigo a limited, non-exclusive license to process, store, and transmit your Content solely for the purpose of operating and providing the Service to you.
We may store session logs for troubleshooting and security purposes. We will not use your Content to train artificial intelligence models.
The Service, including its software, user interface design, and documentation, is owned by Tedigo and is protected by applicable intellectual property laws. Your use of the Service does not grant you any ownership rights in the Service itself, its underlying technology, or any associated trademarks or branding.
Feedback you provide— including suggestions, ideas, error reports, and improvement requests — is contributed on a non-confidential basis. You hereby grant Tedigo a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and incorporate Feedback into the Service without compensation, attribution, or further consent.
The Service routes terminal sessions through our cloud infrastructure on a best-effort basis. We do not guarantee uninterrupted or error-free connectivity. You acknowledge that network conditions, scheduled server maintenance, and other factors beyond our control may affect session availability and performance.
Tedigo is not liable for any data loss, work interruption, or other damages caused by connectivity issues or session disruptions.
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Tedigo does not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by applicable law, Tedigo’s total liability arising from or related to your use of the Service shall not exceed the greater of (a) the total fees you paid to Tedigo in the twelve months immediately preceding the claim, or (b) one hundred United States dollars ($100).
In no event shall Tedigo be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
You agree to indemnify, defend, and hold harmless Tedigo, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Service, your violation of these terms, or your violation of any rights of a third party.
Either party may terminate this agreement at any time. You may delete your account directly through the Service or by contacting us at the address below. We reserve the right to suspend or terminate your access to the Service immediately if you violate these terms.
Upon termination, we will retain your data for 30 days before permanent deletion, unless we are required by law to retain it for a longer period.
We may update these Terms of Service from time to time to reflect changes in our practices or for legal, regulatory, or operational reasons. We will notify you of material changes at least 30 days before they take effect, either by email or through a notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated terms.
These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Binding arbitration. Except for claims for injunctive relief to protect intellectual property or confidential information, any dispute, claim, or controversy arising out of or relating to these terms or the Service shall be resolved by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, conducted in English in Wilmington, Delaware (or remotely by mutual agreement). Judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury trial waiver. You and Tedigo each waive any right to a jury trial and to bring or participate in a class action, class arbitration, collective action, or representative proceeding. Disputes must be brought individually.
Time limit. Any claim must be filed within one (1) year after the cause of action accrues, or it is permanently barred to the extent permitted by law.
Tedigo is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet outages, third-party AI provider outages, denial-of-service attacks, or other infrastructure failures.
Sections 6, 7, 9, 10, 11, 14, 15, and any provision that by its nature should survive, will survive termination. If any provision of these terms is held unenforceable, the remainder will continue in full force, and the unenforceable provision will be reformed only to the minimum extent necessary. You may not assign these terms without Tedigo’s prior written consent; Tedigo may assign these terms in connection with a merger, acquisition, financing, or sale of all or substantially all of its assets.
